ELIGIBILITY:

Open to legal U.S. residents who are 18 years of age or older (or otherwise the age of majority in their state of residence) at time of entry. Employees of Oasys Mobile, Inc. (“Sponsor”), Ultimatebet.net, Ultimatebet.com, Philhellmuth.com, Clubhellmuth.com and their respective parents, subsidiaries, and other affiliated companies, agents, advertising and promotional agencies, and their immediate families or persons residing in the same household of such employees are not eligible to enter or win.

HOW TO ENTER:

Enter the Oasys Mobile Ultimate Stake Sweepstakes (the “Sweepstakes”) one of two ways: (1) purchase and download the mobile device game “Texas Hold’em with Phil Hellmuth” onto your mobile device, by using the methods of download available through your wireless provider and register by providing your name, address, email address and telephone number at http://www.hellmuthholdem.com. – you receive an entry for your completed registration, and when you play “Texas Hold’em with Phil Hellmuth” on your mobile device, you receive an additional entry for every one (1) virtual dollar that you win playing the game; or (2) to enter for free, register at http://www.hellmuthholdem.com. You will receive an entry each time you register. See http://oasysmobile.com/products/hellmuth07.php for more information about the game “Texas Hold’em with Phil Hellmuth.” The Sweepstakes begins June 1, 2008 and ends August 31, 2008. All entries must be submitted by August 31, 2008 at 5 p.m. ET whether by registration method or by playing “Texas Hold’em with Phil Hellmuth”. Once submitted, entries become the exclusive property of the Sponsor and will not be returned. Use of any automated, programmed, robotic or similar system to enter is prohibited and will result in disqualification. Sponsor is not responsible for late, lost, damaged, misdirected, mutilated, stolen, incomplete or illegible entries. No mechanically reproduced entries are permitted. Incomplete, incoherent, illegible or late entries will be disqualified. Entrants agree to be bound by these Official Rules and by the decisions of the judges, which are final and binding in all respects. In the event of a dispute as to the identity of any winner or entrant, the winner or entrant is the authorized account holder of the email address used to register. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. PRIZES/ODDS OF WINNING:

One (1) Grand Prize will be awarded. Grand Prize is one $2,500 paid by check and an opportunity to play poker with Phil Hellmuth on http://www.ultimatebet.net. (Total approximate retail value: $2,500). The money prize will be awarded on or about October 15, 2008 and the opportunity to play poker with Phil Hellmuth will be on a date determined by Phil Hellmuth. Odds of winning depend on the number of eligible entries received. Each eligible entry will have an equal chance of winning.

WINNERS SELECTION/ PRIZE REDEMPTION:

Sponsor will select a winner from all eligible entries submitted in a random drawing on or about September 15, 2008. Potential prize winner will be notified by telephone or certified mail. All taxes on prizes are the sole responsibility of the winner. Winners must complete and return an Affidavit of Eligibility and Liability Release within fourteen (14) days of notification or prize will be forfeited and an alternate winner will be selected. If prize/prize notification is returned as undeliverable, the prize will be forfeited and an alternate winner will be selected. Unclaimed prizes may not be awarded. In the event the poker game with Phil Hellmuth portion of the Grand Prize is cancelled or rescheduled for any reason, Sponsor will not be responsible for awarding that portion of the prize, but the remainder of the prize package will be awarded.

GENERAL:

All prizes are non-transferable. All taxes or expenses and any costs incurred in claiming or using any of the prizes, is the sole responsibility of the prize winner. All federal, state and local taxes are the sole responsibility of the winner. Because the Grand Prize is greater than $600, Sponsor will issue an IRS 1099 tax form to winner for the prize value of $2,500. No prize substitutions, except at Sponsor’s sole discretion, and then only for a prize of equal or greater value. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Limit one (1) prize per household. Acceptance of any prize constitutes permission to the Sponsor and its agencies to use each winner’s name, address (city and state only), likeness, and statements attributed to him/her for the purpose of advertising and trade, in any media now existing or hereinafter devised, on behalf of the Sponsor and all Sponsor affiliates without further permission or compensation, except where prohibited by law. By participating, entrants agree to be bound by these Official Rules and agree to release and hold harmless the Sponsor and all Sponsor affiliates and each of their respective employees, shareholders, agents, officers, and directors from and against any and all liability claims, losses, and/or damages including without limitation, any injury, death and/or disability caused by, contributed to by, or arising out their participation in this Sweepstakes, any related travel, acceptance, possession, use or misuse of a prize. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sponsor reserves the right, in its sole discretion, to: (i) disqualify from this or any sweepstakes it sponsors now, or in the future, any person it finds, in its sole discretion, has intentionally violated these Official Rules, tampered with the entry process, the operation of the Sweepstakes, or any other aspect of this Sweepstakes; and (ii) cancel or suspend part or all of this Sweepstakes in the event that printing errors, tampering, fraud, unauthorized intervention or other causes beyond Sponsor’s control, corrupt or impair the administration, security, fairness or proper play of the Sweepstakes. In such event, Sponsor may award prizes in a random drawing from all eligible entries received prior to the date of cancellation or suspension. The Sponsor and all Sponsor affiliates and each of their respective employers, shareholders, agents, officers, and directors assume no responsibility for inaccurate information of any kind, whether caused by equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error, which may occur in the processing or submission in the Sweepstakes. Information collected from entrants is subject to the Sponsor’s Privacy Policy.

WARNING

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS; AND SHOULD SUCH AN ATTEMPT BY MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT OR OTHER PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING SEEKING CRIMINAL PROSECUTION.
